The total amount of 89,102 shares according to the share buy-back program has now been repurchased

During the period November 22 – November 26, 2021, Nordic Waterproofing Holding AB (LEI code: 5493000T8MZ5GQREJW94) has repurchased in total 74,556 own shares (ISIN: SE0014731089) as part of the share buyback program initiated by the Board of Directors in order to secure the obligations arising from the company’s long-term share-based incentive programs.

The board of directors in Nordic Waterproofing Holding AB has, based on the authorisation granted by the annual general meeting held on 29 April 2021, resolved to repurchase a maximum of 89,102 own shares on Nasdaq Stockholm during the period 1 November 2021 up to and including the last trading day before the annual general meeting 2022 for a total maximum amount of SEK 30 million.

Nordic Waterproofing Holding AB will publish its third quarter report for the period January – September 2021 on Tuesday, 2 November 2021, at approximately 08:00 a.m. CET. A conference call and web presentation for investors, analysts and media will be held the same day, at 10:00 a.m. CET.

Nordic Waterproofing Holding AB’s nomination committee ahead of 2022 Annual General Meeting has been appointed, based on ownership data as per 31 August 2021.

Nordic Waterproofing Group has acquired 75 percent of the Finnish company Rakennusliike Ripatti Oy (“Ripatti”). The company is headquartered in Nurmijärvi north of Helsinki and is a specialist in metallic façade construction, metal profiling and machining and pre-made eaves system with integrated fall protection under the brand RipRap. Ripatti has 30 employees and an annual turnover of EUR 7 m. The acquisition will, together with our Installation Services businesses, broaden our offering of roofing services in the Finnish market.

Nordic Waterproofing Holding AB (publ) (the “Company”) held an extraordinary general meeting on 24 June 2021. In order to prevent the spread of the virus causing covid-19, the general meeting was carried out solely through postal voting, without any physical presence. At the general meeting, the following resolutions were made.

Nordic Waterproofing Group has appointed Susanne Højholt, Group R&D Manager, to the newly established position as Group CSO.

The shareholders of Nordic Waterproofing Holding AB (publ), reg. no. 556839-3168, are hereby given notice that the extraordinary general meeting will be held on 24 June 2021.

Nordic Waterproofing Group has acquired 80 percent of the Finnish company E. Voutilainen Oy (“Voutilainen”). The company is headquartered in Imatra and performs installation and maintenance of liquid floor coating in mainly Eastern Finland. Voutilainen has ca 15 employees and an annual turnover of ca EUR 1.9 m. The acquisition will, together with our SPT Painting Oy, strengthen our position in the Finnish market.

As previously communicated on 10 March 2021, Nordic Waterproofing Group signed an agreement to acquire the Finnish company Seikat Oy (“Seikat”). Today, as planned, 84 percent of Seikat was acquired.

The shareholders of Nordic Waterproofing Holding AB (publ), reg. no. 556839-3168, are hereby given notice that the Annual General Meeting will be held on 29 April 2021.

In order to prevent the spread of the virus causing covid-19, the board of directors has decided that the annual general meeting shall be held without the physical presence of shareholders, proxies or external parties and that the shareholders shall have the opportunity to vote only by mail prior to the general meeting.

Information on the resolutions passed by shareholders will be disclosed on 29 April 2021, as soon as the outcome of the postal voting has been finally confirmed.

Nordic Waterproofing Group has acquired the Swedish company Urban Green AB (“Urban Green”), trading in the company is offered indirectly through UG Partner Sweden AB through Pepins. The company is headquartered in Stockholm and has production facilities in Vislanda, Småland. Urban Green has 27 employees and an annual turnover of approximately SEK 50 m. The acquisition is part of our strategy to promote sustainability by establishing green environments for roof landscapes. Urban Green complements Nordic Waterproofing’s existing Veg Tech operation and these two companies strengthens the offering of services and products to our customers in green solutions for urban environments.

Bengt-Erik Karlberg leaves his position in the Nordic Waterproofing Group Management Team and his position as CEO for Veg Tech AB. As of today, 18 March 2021, Johan Ljungberg is appointed as Acting CEO for Veg Tech AB.

Nordic Waterproofing Group has signed an agreement to acquire the Finnish company Seikat Oy (“Seikat”). The company is headquartered in Ylistaro and designs, manufactures, markets and installs long-span (15 – 24 meters) wooden prefabricated roof panels to industrial buildings, warehouses, public and commercial buildings. Seikat has 21 employees and an annual turnover of ca EUR 4 m. This acquisition is part of NW’s strategy of promoting sustainable, wood-based building solutions. Entering the Finnish market in this field is an important step in extending our relevant footprint beyond Denmark and Norway.

The Nordic Waterproofing Group has acquired 51% of Gauris B.V. (“Gauris”), a company in the Netherlands. The company was founded in 2018 and is headquartered in Heerenveen. Gauris is a trading and prefabricating company for lining, supplying the segments ponds, pools, roofing, water storage, environmental solutions and civil projects. They offer almost all kind of lining products like EPDM, FPP, LDPE, HDPE, FPO/TPO, geotextiles and PVC with the Netherlands as their main market. Gauris has 7 employees and an annual turnover of ca
EUR 1 m.

Nordic Waterproofing Group has acquired 70% of the Norwegian company Byggpartner AS (“Byggpartner”).
The company is headquartered in Sandefjord and performs installation and maintenance of waterproofing products in the area around Oslo. Byggpartner has 56 employees and an annual turnover of ca NOK 180 m. The acquisition will strengthen our position and improve our service offering in the Norwegian market.
