Following the mandatory offer to the shareholders of Nordic Waterproofing Holding AB (“Nordic Waterproofing”), submitted by the principal owner Kingspan Holdings (IRL) Limited (“Kingspan”) on October 10, 2023 (the “Offer”), Nordic Waterproofing’s board of directors (“the Board”) provides an update on its preparations.

Following the mandatory offer to the shareholders of Nordic Waterproofing Holding AB, submitted by main owner Kingspan Holdings (IRL) Limited on October 10, 2023 (the “Offer”), the Board has appointed financial and legal advisers.

Nordic Waterproofing Holding AB’s Nomination Committee ahead of 2024 Annual General Meeting has been formed, based on ownership in the company as of 31 August 2023 and taking into account changes that have taken place thereafter.

Nordic Waterproofing Holding AB will publish the third quarter report for the period January – September 2023 on Thursday, 26 October 2023, at approximately 08:00 a.m. CEST. A conference call and web presentation for investors, analysts and media will be held the same day, at 10:00 a.m. CEST.

Nordic Waterproofing Holding AB (LEI code: 5493000T8MZ5GQREJW94) has repurchased in total 92,801 own shares (ISIN: SE0014731089) as part of the share buyback program initiated by the Board of Directors in order to secure the obligations arising from the company’s long-term share-based incentive programs. All 92,801 shares in this buyback program are now purchased. The weighted average share price for the repurchased shares were 161.20 SEK and the total transaction value amounted to 14,959,521.20 SEK.

The annual general meeting of Nordic Waterproofing Holding AB (publ), reg. no. 556839-3168, will be held on 27 April 2023, 11:00, at Mindpark, Bredgatan 11 in Helsingborg.

The board of directors in Nordic Waterproofing Holding AB has, based on the authorisation granted by the annual general meeting held on 28 April 2022, resolved to repurchase a maximum of 92,801 own shares on Nasdaq Stockholm during the period 22 March 2023 up to and including the last trading day before the annual general meeting 2023 for a total maximum amount of SEK 25 million.

Nordic Waterproofing Group has acquired a further 40 percent of the shares in Blomstertak AS (Blomstertak), a Norwegian company growing sedum that offers a wide variety of different landscaping products. In 2018 the first 60 percent of the shares were acquired and Blomstertak is now a wholly-owned subsidiary of Nordic Waterproofing.
