Nordic Waterproofing is a young Group with a long history, dating back to 1889 when Trebolit was established. Several of the brands were established in the early 1900s, and have their own historical roots. Nordic Waterproofing was established following the merger of the waterproofing operations of Trelleborg Group and Lemminkäinen Oy in 2011. The aim was to create a major player in the Nordic market for waterproofing.

Today, Nordic Waterproofing has a strong portfolio of brands and offers complete solutions to seal, protect and preserve buildings and other structures.

1789

Admiralty Doctor Arvid Faxe from Karlskrona, Sweden, was the first manufacturer of roofing felt. He named the product “stone paper” which became highly acclaimed among others in France, Germany and Russia. The cardboard sheets were later developed into industrial rolls.

1889

Trebolit was founded in Trelleborg, Sweden, under the name Phylatterion. In the 1920’s, coal tar switched to asphalt cardboard (oil asphalt cardboard). The manufacturing method did not change significantly over the next 40 years. In 1982 Trebolit becomes the first in Sweden with manufacturing based on SBS modified asphalt.

1904

Mataki is started in Sweden under the name Malmö Takpappfabrik. The main product at that time was simple roofing felt coated with coal tar. The name Mataki were added in 1933, an abbreviation of Malmö Tak pappfabrik och Kemisk Industri. In 1995 Mataki was acquired by Trelleborg AB.

1907

Denmark’s Phønix factory begins to manufacture concrete products and roofing felt. 1930 the operations are expanded to include road materials and in 1957 the name is changed to A/S Phønix Tagpap og Vejmaterialer. The brand logo Phønix is introduced in 1974 and after several name and ownership changes Phønix Tag A/S is sold to the Trelleborg Group which in 2011 divests the business to become part of Nordic Waterproofing.

1920

Kerabit is established in Finland.

1967

Production of butyl rubber starts in Värnamo in Sweden under license from Esso, which is the foundation of SealEco’s operations. The company is named “Värnamo Rubber” and the seal has been around as a symbol since 1982. In 1989 Trelleborg AB acquires the operation that is renamed to Trelleborg Waterproofing, which is now an integral part of Nordic Waterproofing.

1973

Hetag founded by Vagn Clausen in Hedensted in Denmark.

1978

Nortett is founded in Norge under the name Pause & Pause Bygg. In 2003, the company name is changed to Nortett Bygg AB, and operations are refined to solely offer products for housing. The brand Nortett is established in 2012.

2011

Nordic Waterproofing is formed by the merger of the Danish and Swedish subsidiary of Trelleborg AB and the Finnish Lemminkäinen Oy’s roofing business. Axcel becomes the majority owner. In the same year, Waterproofing Wulva is acquired, a Belgian distributor and pre-fabricator of EPDM materials.

2012

Nordic Waterproofing acquires AL-Katot Oy, a Finnish contractor and the Norwegian distributor Nortett Bygg

2014

Nordic Waterproofing acquires Univex, a pre-fabricator and distributor on the Belgian market.

2016

Principal owners resolve to list Nordic Waterproofing Holding A/S shares and trading commences on Nasdaq Stockholm on 10 June 2016.

2017

Nordic Waterproofing acquires EPDM Systems, a pre-fabricator and distributor of EPDM rubber membranes on the Dutch market.

Nordic Waterproofing acquires Finland’s SPT-Painting, which operates in the growing floor coating market.

Nordic Waterproofing acquires the Finnish roof service and maintenance company LA Kattohuolto Oy, with its operations in nine locations, of which five are operated by franchisees. LA Kattohuolto will strengthen the Group’s current roofing and service and maintenance offering.

Nordic Waterproofing acquires Danish prefabrication company Taasinge Elementer. The company is Denmark’s leading manufacturer of prefabricated roof and façade elements based on wooden frame constructions to the construction industry.

Nordic Waterproofing acquires the prefabricated roofing and façade elements production plant from Ugilt Savværk in Denmark.

2018

Nordic Waterproofing acquires the Norwegian company Ringsaker Vegg- og Takelementer AS (“RVT”). The company is one of Norway’s leading manufacturer of prefabricated façade elements based on wooden frame constructions to the construction industry. The acquisition forms part of the strategy to make Taasinge Elementer and Nordic Waterproofing a major player in the Nordic market for prefabricated roofing and façade elements.

vegtech

Nordic Waterproofing acquires one of the leading players within vegetation technology in the Nordics – Veg Tech. Veg Tech was founded in 1987 in Vislanda, Sweden, and has for 30 years helped their customers to create greener and more natural surroundings. The company grows, develops and supplies buildings and cities with multifunctional vegetation systems that contribute to naturally delay the infiltration of rain water, improve water quality and favors and improves biodiversity.

2019

Nordic Waterproofing acquires Distri Pond Group in Belgium, with the two operating companies Distri Pond NV and Pond Technics & Training BVBA. The company is a leading distributor of pond systems in the Belgium market, with annual sales of approximately SEK 110 million and 23 employees. The acquisition fits well into SealEco’s strategy of vertical integration and will increase Nordic Waterproofing’s exposure to an attractive market segment within our core business.

2020

Nordic Waterproofing acquires 25% of Playgreen Finland Oy, a Finnish company mainly active in the field of offering design, sales and installations of solar energy solutions. The company offers environmentally friendly tailor-made renewable energy solutions to their customers to be installed on public buildings, industries, farms or private houses. Playgreen Finland Oy also has the capacity to design and install charging stations for electric cars.

At extraordinary general meetings, it was decided to merge Nordic Waterproofing Holding A/S with Nordic Waterproofing Holding AB with the latter company as remaining. This changes the group’s parent company’s domicile from Denmark to Sweden. Trading on Nasdaq in the new Swedish parent company’s shares will began on November 30.
